Processing Volume Override 5 basis points on net new volume processed through modernized infrastructure 3 years from go-live

Volume Override (5 bps)

Applies to all transaction volume processed through the new payment infrastructure you build with Allan's guidance. Calculated monthly, paid quarterly. Begins at production go-live.

Savings Commission (20%)

Measured against a documented baseline of gWorks' current effective processing rate. The savings delta multiplied by actual annual volume determines the commission pool. Paid annually in arrears. Both the override and savings commission stack.

Guaranteed Minimum

$360,000 Year 1 Floor

The 12-month minimum retainer ensures a $360K engagement floor regardless of project timeline. Milestone payments ($50K) and performance compensation (5 bps + 20% savings) are additive.

What We Need from gWorks

To start Monday, we need the following.

Processing Statements

3 months of processing statements from Worldpay/Payrix. This is the foundation of the interchange gap analysis and rate benchmarking.

Current Payrix Agreement

The existing MSA, sub-merchant agreement, and any addenda with Payrix/Worldpay. We need to understand term, exclusivity, volume commitments, and exit clauses.

API Documentation

Full API stack documentation for the current payment integration. Payrix API endpoints, authentication, webhook configurations, and any custom middleware.

Technical Point of Contact

An engineering lead who can answer integration questions and provide access to staging/sandbox environments when needed.

Projected Timeline

We move fast.

This is not a 12-month crawl. We operate at startup speed with enterprise discipline. The retainer guarantees a 12-month runway, but the goal is to be live well ahead of that.

Week 1
Kickoff — Processing statements, Payrix agreements, API docs collected. Technical discovery calls. We start Monday.
Week 2-4
Assessment and Architecture — Interchange gap analysis, payment method audit, architecture design, recommendations delivered
Week 4
Phase 1 Milestone — Architecture sign-off. $25K milestone.
Week 5-10
Implementation — Processor negotiations, API integration, digital wallets, ACH, service fee compliance, parallel running
Week 10-12
Go-Live — Phased migration, municipality-by-municipality cutover, monitoring. $25K milestone.
Week 12+
Optimization — Post-go-live stabilization, interchange optimization, service fee rollout, savings baseline established
